InstaPlan Pty Ltd owns the software, workflows, dashboards, forms, rollout process, data structures and intellectual property.
You and your company must not copy, scrape, reverse engineer, benchmark, reproduce, use AI to replicate, or build a substitute product from InstaPlan.
You must not provide access to developers, IT consultants, AI consultants, dashboard developers or competitors without written approval.
Your company is responsible for all data entered into InstaPlan.
Daily diary entries, edits, timesheets, photographs and reports must be proofread and verified by your company before use.
InstaPlan provides software only and does not certify project records, claims, delay records, safety records or commercial reports.

SOFTWARE LICENCE AGREEMENT

Important Notice

This Software Licence Agreement is intended to protect InstaPlan Pty Ltd’s software, workflows, systems, methods, design, rollout process, intellectual property, confidential information, data position and liability position.

The Software is provided as a software tool only. InstaPlan Pty Ltd does not certify, verify, approve or warrant the accuracy of any construction record, daily diary, timesheet, delivery record, project record, dashboard, report, claim, delay record, productivity measure, safety record, photograph, note, edit, interpretation or output generated through or entered into the Software.

The Licensee and its users remain wholly responsible for all data entered into the Software and all use, interpretation, review, proofreading, approval, reliance and external submission of that data.

1. Parties

This Software Licence Agreement (Agreement) is made between:

InstaPlan Pty Ltd ACN/ABN 
(InstaPlan, we, us, our)

and

the company, organisation, contractor, consultant, employee, officer, agent, representative, subcontractor or other person who accesses, uses, trials, receives, views or benefits from the Software
(Licensee, you, your).

If an individual accepts this Agreement on behalf of a company, employer, client, joint venture, related body corporate, partnership or other organisation, that individual represents and warrants that they have authority to bind that organisation.

2. Acceptance

You accept this Agreement when you:

a. click “I agree”, “Register”, “Accept”, “Submit”, “Access Portal” or any similar button;
b. create an account;
c. log in to the Software;
d. access the Software;
e. use any part of the Software;
f. receive training, onboarding or implementation assistance;
g. receive reports, dashboards, outputs, forms or data from the Software;
h. receive the commercial or operational benefit of the Software; or
i. continue using the Software after being notified of this Agreement.

If you do not agree, you must not access or use the Software.

3. Definitions

Authorised User means a person authorised by the Licensee and InstaPlan to access the Software for the Licensee’s permitted internal business use.

Client Data means all data, content, documents, drawings, photographs, videos, project information, personal information, commercial information, timesheets, daily diaries, delivery records, notes, edits, reports, schedules, programs, claims information, productivity information, safety information, subcontractor information, supplier information, user information and any other material uploaded, entered, transmitted, displayed, generated, processed, edited, exported or relied on through the Software.

Confidential Information means all non-public information relating to InstaPlan or the Software, including source code, object code, architecture, APIs, workflows, screen layouts, forms, field structures, database structures, schemas, dashboard logic, reports, templates, prompts, rollout methods, onboarding methods, training methods, implementation processes, business logic, pricing, documentation, know-how, product roadmap, trade secrets and commercial methods.

Derivative Work means any software, app, progressive web app, website, portal, spreadsheet, dashboard, workflow, automation, form, report, process, system, template, AI-generated tool, specification, database, integration, method or product that is copied from, based on, adapted from, inspired by, reverse engineered from, substantially similar to, or developed using the Software, InstaPlan’s workflows, InstaPlan’s design, InstaPlan’s rollout process or InstaPlan’s Confidential Information.

Intellectual Property Rights means all present and future rights anywhere in the world in copyright, trade marks, service marks, trade names, business names, domain names, designs, patents, inventions, circuit layouts, confidential information, trade secrets, know-how, data models, database structures, schemas, source code, object code, workflows, UI/UX designs, documentation, processes and all analogous rights.

Scraping means any automated, semi-automated, manual or systematic extraction, harvesting, crawling, querying, copying, downloading, mirroring, screen scraping, API scraping, browser scraping, data mining, indexing, caching or replication of data, pages, screens, code, content, reports, dashboards, workflows, user interface elements, structures, API responses, files or functionality from the Software.

Software means the InstaPlan software platform and all related systems, including any progressive web application, website, portal, source code, object code, APIs, workflows, dashboards, forms, templates, reports, automations, integrations, implementation material, rollout material, training material, user interface designs, database structures, schemas, business logic, documentation and related services.

4. Construction Industry Context and Permitted Purpose

The Licensee acknowledges that InstaPlan provides software to assist with construction, infrastructure, engineering, project delivery, project controls, daily diaries, timesheets, delivery tracking, productivity reporting, dashboards, records and related operational workflows.

The Licensee is receiving access to the Software for its own internal construction, infrastructure, engineering, project delivery or project management operations only.

The Licensee must not access, evaluate, use, inspect, test, document, benchmark or review the Software for the purpose of designing software, developing software, procuring software, specifying software, replacing the Software, assisting a developer, briefing an internal IT team, briefing an external software company, briefing an AI system, creating a competing or substitute product, creating a similar workflow, dashboard, form, report, system, database, automation or app, or helping any third party do any of the above.

5. Licence Grant

Subject to this Agreement and payment of all applicable fees, InstaPlan grants the Licensee a limited, revocable, non-exclusive, non-transferable, non-assignable, non-sublicensable licence to access and use the Software solely for the Licensee’s authorised internal business purposes.

The Licensee receives only a limited right to use the Software. The Licensee does not receive ownership of the Software or any Intellectual Property Rights.

All rights not expressly granted are reserved by InstaPlan.

6. Intellectual Property Ownership

The Licensee acknowledges and agrees that InstaPlan owns, or is licensed to use, all legal right, title and interest in and to the Software, including all Intellectual Property Rights.

This includes source code, object code, software architecture, workflows, workflow sequencing, rollout and implementation methodology, onboarding methods, training systems, forms, field names, field structures, database structures, schemas, dashboard layouts, dashboard logic, reporting structures, UI and UX design, navigation flows, automations, integrations, APIs, templates, prompts, documentation, project controls logic, productivity reporting methods, daily diary workflows, timesheet workflows, delivery tracking workflows and confidential know-how.

Nothing in this Agreement transfers ownership of any Intellectual Property Rights to the Licensee.

The Licensee acknowledges that InstaPlan’s commercial value includes not only code, but also its workflows, process logic, system design, visual design, implementation method, rollout method, data structures, reporting methods, forms, dashboards and construction industry know-how.

7. Strict Anti-Copying and Anti-Reverse Engineering Obligations

The Licensee must not, and must not allow any other person to:

a. copy the Software;
b. copy any workflow, screen, form, dashboard, report, field structure, process, code, design, logic, rollout method or implementation method;
c. modify, adapt, translate, reproduce, distribute, publish, sell, rent, lease, loan or commercialise the Software;
d. create a Derivative Work;
e. reverse engineer, decompile, disassemble, inspect, derive, reconstruct or attempt to discover the source code, object code, architecture, workflows, business logic, APIs, database structure, formulas, automations or implementation methods of the Software;
f. use the Software as a reference, specification, benchmark, blueprint, wireframe, process map, development brief, functional model or product requirement for another system;
g. take screenshots, recordings, screen captures, process maps or workflow notes for the purpose of copying, briefing, rebuilding, replacing or competing with the Software;
h. instruct an employee, consultant, contractor, subcontractor, developer, AI system or third party to create anything similar to the Software;
i. use the Software to develop or assist in developing a competing or substitute product; or
j. use knowledge gained from the Software to avoid paying InstaPlan, circumvent InstaPlan, replace InstaPlan, or build a similar system internally or externally.

8. No Third-Party Developer Access

The Licensee must not permit software developers, app developers, web developers, IT consultants, automation consultants, AI consultants, project controls software providers, dashboard developers, Power BI consultants, data analytics consultants, reporting consultants, competing technology providers, offshore developers, internal software teams, external development teams, systems integrators or any person engaged for the purpose of replacing, copying, benchmarking, replicating or improving a competing or substitute product to access, view, test, inspect, record, analyse, review or use the Software without InstaPlan’s prior written consent.

9. No AI Replication

The Licensee must not input, upload, paste, describe, summarise, screenshot, screen record, transcribe or otherwise provide any part of the Software, including workflows, forms, dashboards, field structures, data structures, prompts, reports, user interface elements, implementation steps, code, documentation or process descriptions, into any artificial intelligence system, machine learning system, software development tool, code generation tool, automation tool or prompt-based system for the purpose of creating a competing or substitute product, improving a competing or substitute product, training, fine-tuning or prompting an AI model, generating code, generating workflows, generating screen designs, generating dashboards, creating specifications, creating documentation for another system, or assisting any developer or third party to copy, imitate, benchmark or replace the Software.

10. No Scraping, API Extraction or Bulk Downloading

The Licensee must not scrape the Software.

The Licensee must not use bots, scripts, crawlers, browser automation, headless browsers, unauthorised APIs, browser extensions, screen scraping tools, testing tools or data extraction tools to access the Software.

The Licensee must not bulk export, bulk download, bulk copy, mirror, cache, index or harvest Software data except through approved export functions expressly provided by InstaPlan.

The Licensee must not inspect browser code, network calls, API responses, HTML, CSS, JavaScript, Apps Script, PHP, database responses, authentication flows or endpoint structures for the purpose of copying, extracting, bypassing or reproducing the Software.

Any breach of this clause is a material breach of this Agreement and gives InstaPlan the right to immediately suspend or terminate access.

11. Confidentiality

The Licensee must keep InstaPlan’s Confidential Information confidential.

The Licensee may use InstaPlan Confidential Information only for the permitted use of the Software under this Agreement.

Confidentiality obligations continue after termination of this Agreement.

12. Client Data Responsibility

The Licensee is solely responsible for all Client Data.

This includes responsibility for accuracy, completeness, quality, legality, currency, reliability, permissions, confidentiality, privacy compliance, user access, internal review, proofreading, verification, approval, reliance, interpretation, export, disclosure, backup, recordkeeping and use in any construction, commercial, contractual, legal, employment, safety, payment, delay or project dispute.

InstaPlan does not check, verify, certify, audit, validate, approve or warrant Client Data.

The Licensee warrants that it has all rights, consents, permissions and legal authority required to upload, store, process, use, disclose and export Client Data through the Software.

The Licensee indemnifies InstaPlan against all claims, losses, liabilities, damages, costs and expenses arising from or connected with Client Data.

13. Daily Diary, Timesheets, Edits and Project Records

The Licensee and each Authorised User are wholly responsible for all daily diary entries, timesheets, delivery records, notes, photographs, project records, edits, updates, comments, status changes, completion confirmations and other records entered into, generated by or submitted through the Software.

The Licensee and each Authorised User must proofread, check, review and verify all daily diary entries, edits, automated text, dictated notes, transcriptions, photographs, timestamps, task statuses, delivery records, timesheets, comments and reports before submitting, approving, exporting, relying on or issuing them.

The Software does not certify, verify, approve or warrant the accuracy, completeness, legal effect, contractual effect, evidentiary value or reliability of any daily diary, timesheet, project record, photograph, note, edit, report or export.

If the Licensee uses any Software output in a claim, payment dispute, adjudication, arbitration, court proceeding, expert report, delay claim, extension of time claim, subcontractor dispute, employment dispute, disciplinary process, safety investigation or regulatory matter, the Licensee does so entirely at its own risk.

14. No Professional Advice, No Certification and No Project Decision Responsibility

InstaPlan provides software only.

Unless expressly agreed in a separate written professional services agreement, InstaPlan does not provide engineering advice, legal advice, planning advice, construction certification, safety certification, WHS advice, contract administration advice, delay analysis certification, programming certification, project controls certification, quantity surveying advice, payment claim advice, adjudication advice, employment advice, industrial relations advice, privacy advice, financial advice or professional project certification.

All outputs must be reviewed, checked and verified by suitably qualified personnel before reliance.

15. Privacy, Workplace Surveillance and Worker Data

The Licensee is solely responsible for complying with all privacy, data protection, workplace surveillance, employment, industrial relations, consultation and worker notification obligations arising from use of the Software.

The Licensee is responsible for determining whether information entered into the Software includes worker data, personal information, sensitive information, surveillance information, employment information, site attendance information, productivity information, performance information or disciplinary information.

16. Security and Access Control

The Licensee is responsible for maintaining secure user access, ensuring only Authorised Users access the Software, managing passwords, preventing credential sharing, disabling users who no longer require access, securing devices, securing networks, training users, preventing unauthorised exports, preventing unauthorised third-party access, preventing misuse by employees, contractors and subcontractors, and promptly notifying InstaPlan of suspected unauthorised access or misuse.

17. Third Party Platforms and Integrations

The Software may interact with third party platforms, including hosting providers, cloud services, email systems, spreadsheet systems, storage services, authentication tools, analytics tools, WordPress, Elementor, Google services, Microsoft services, APIs or other external systems.

InstaPlan is not responsible for third party platforms, third party outages, third party data loss, third party security incidents, third party API changes, third party pricing changes or third party terms.

18. Subpoenas, Notices to Produce, Discovery and Legal Proceedings

If InstaPlan is required to respond to any subpoena, notice to produce, discovery request, regulator request, adjudication request, arbitration request, court order, expert evidence request, summons, investigation notice, legal demand or similar process arising from the Licensee’s use of the Software or Client Data, the Licensee must reimburse InstaPlan for its reasonable legal, administrative, technical, professional and internal costs, except to the extent prohibited by law.

If InstaPlan produces records, logs, exports, metadata, timestamps or Client Data, such production does not mean InstaPlan certifies the accuracy, completeness, meaning, reliability, legal effect, evidentiary value or proper interpretation of those records.

19. Misuse by Construction Company, Client or Related Party

The Licensee must not copy InstaPlan workflows into an internal system, spreadsheets, Power BI, Microsoft Lists, Airtable, Smartsheet, Monday.com, Notion, SharePoint, Excel, Google Sheets or any other platform.

The Licensee must not use InstaPlan as a model for a new internal app, brief a developer to build something like InstaPlan, copy daily diary workflows, copy timesheet workflows, copy delivery tracking workflows, copy the photo upload process, copy dashboard structures, copy report structures, copy field names or schemas, copy the rollout process, remove or hide InstaPlan branding, provide access to competitors, provide access to software developers, misuse data commercially without verification, rely on Software outputs without review, upload confidential third-party material without authority, or use the Software outside the authorised scope.

20. Misuse by Software Company, Developer, Consultant or Competitor

The Licensee must not permit or assist any software company, developer, consultant, technology provider, AI provider, project controls software provider, dashboard provider or competitor to access, inspect, review, copy, benchmark, reverse engineer or attempt to replicate any part of the Software.

21. Fees, Payment and Suspension

The Licensee must pay all fees specified in any order form, proposal, invoice, subscription plan or written agreement.

InstaPlan may suspend access if fees are overdue, if the Licensee breaches this Agreement, or if InstaPlan reasonably suspects copying, scraping, reverse engineering, unauthorised access, misuse or security risk.

22. Availability, Changes and Maintenance

The Licensee acknowledges that the Software may change over time.

InstaPlan may update, modify, improve, replace, suspend, remove or discontinue features.

Unless expressly agreed in a separate service level agreement, InstaPlan does not guarantee that the Software will be uninterrupted, error-free, available at all times or compatible with all devices, browsers, networks or third party systems.

23. Disclaimer of Warranties

To the maximum extent permitted by law, the Software is provided “as is” and “as available”.

To the maximum extent permitted by law, InstaPlan excludes all warranties, conditions, guarantees and representations, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, availability, security, suitability or performance.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot be excluded under applicable law.

24. Limitation of Liability

To the maximum extent permitted by law, InstaPlan, its directors, officers, employees, contractors, agents, affiliates and licensors will not be liable for loss of profit, revenue, contract, opportunity, goodwill, business, project delay, disruption, liquidated damages, penalties, rework, cost overrun, acceleration cost, productivity loss, labour loss, subcontractor claim, supplier claim, payment dispute, delay claim, variation dispute, loss, corruption or disclosure of data, security breach, misinterpretation of data, reliance on incorrect data, employment claim, safety claim, regulatory claim, construction dispute, indirect, consequential, special, exemplary, punitive or incidental loss.

To the maximum extent permitted by law, InstaPlan’s total aggregate liability arising out of or in connection with this Agreement or the Software is limited to the amount paid by the Licensee to InstaPlan for the Software in the three months immediately preceding the event giving rise to the claim.

25. Indemnity

The Licensee indemnifies InstaPlan, its directors, officers, employees, contractors, agents, affiliates and licensors against all claims, losses, liabilities, damages, costs and expenses, including legal costs on a full indemnity basis, arising out of or connected with the Licensee’s use or misuse of the Software, Client Data, inaccurate or unlawful data, daily diary entries, timesheets, delivery records, photographs, project records, edits, unreviewed records, reliance on Software outputs, misinterpretation of Software outputs, breach of this Agreement, breach of law, breach of third party rights, privacy breach, workplace surveillance issue, employment or industrial relations claim, security breach, unauthorised access, copying, scraping, reverse engineering or attempted replication of the Software, use of the Software in a construction dispute, payment claim, adjudication, arbitration, court proceedings, safety investigation, regulatory investigation, subcontractor, supplier or worker dispute, third-party claim arising from the Licensee’s use of the Software, and any act or omission of the Licensee’s users, employees, contractors, subcontractors, consultants, agents or related bodies corporate.

26. Immediate Termination Rights

InstaPlan may immediately suspend or terminate access without notice if InstaPlan reasonably suspects or determines that the Licensee or any related person has copied or attempted to copy the Software, scraped or attempted to scrape the Software, reverse engineered or attempted to reverse engineer the Software, provided access to a software developer, competitor or unauthorised third party, used the Software to brief a competing or substitute product, used the Software for AI replication, breached confidentiality, breached intellectual property obligations, misused Client Data, caused a security risk, failed to pay fees, used the Software outside the authorised scope, or otherwise committed a material breach.

27. Audit and Compliance

InstaPlan may request reasonable evidence that the Licensee is complying with this Agreement.

If InstaPlan reasonably suspects copying, scraping, reverse engineering, unauthorised access, misuse or breach, InstaPlan may require the Licensee to provide access logs, identify users who accessed the Software, identify contractors, consultants or developers who saw Software material, provide details of any related software development project, confirm whether InstaPlan workflows, screens, reports, forms, field structures, dashboards or designs were copied, preserve relevant documents and communications, delete or destroy copied material, and allow an independent expert to inspect relevant systems, documents or records on reasonable notice, subject to confidentiality protections.

28. Feedback and Suggestions

If the Licensee provides feedback, ideas, improvement requests, feature suggestions, workflow suggestions, bug reports or comments about the Software, InstaPlan may use them without restriction or obligation to compensate the Licensee.

29. Publicity and Brand Use

The Licensee must not use InstaPlan’s name, logo, trade marks, screenshots, dashboard images, workflow diagrams, product descriptions, reports, marketing material or branding without InstaPlan’s prior written consent.

30. Compliance with Laws

The Licensee must comply with all applicable laws, regulations, standards, codes and legal obligations in connection with its use of the Software.

31. Assignment

The Licensee must not assign, transfer, novate, sublicense, delegate or otherwise deal with its rights or obligations under this Agreement without InstaPlan’s prior written consent.

32. Notices

Notices must be given in writing to the contact details specified in the relevant order form, invoice, account profile or written agreement. Email notice is sufficient unless prohibited by law.

33. Dispute Resolution

Before commencing proceedings, the parties must attempt in good faith to resolve any dispute by negotiation.

Nothing prevents InstaPlan from seeking urgent injunctive, equitable or protective relief for breach or threatened breach of intellectual property, confidentiality, anti-copying, anti-scraping, anti-reverse engineering, security, access or payment obligations.

34. General

This Agreement, together with any order form, proposal, invoice or written agreement expressly incorporating it, constitutes the entire agreement between the parties regarding the Software.

If any provision is invalid, unlawful or unenforceable, that provision is severed to the extent required and the remaining provisions continue in force.

This Agreement is governed by the laws of New South Wales, Australia.

The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth courts of Australia.

35. Acceptance by Licensee

By signing, clicking acceptance, accessing the Software, creating an account, logging in, using the Software, receiving credentials, participating in onboarding, or otherwise receiving the benefit of the Software, the Licensee confirms that it has read, understood and agrees to this Agreement. NON-COMPETE AGREEMENT
Version 1.0

This Non-Compete Agreement (“Agreement”) is made between:

InstaPlan Pty Ltd (“Company”)

and

The individual signing or accepting this Agreement (“Recipient”).

Effective Date: The date on which this Agreement is signed or accepted.

1. Purpose

The Recipient may gain access to proprietary software, workflows, processes, templates, methodologies, or technical knowledge belonging to the Company.

This Agreement restricts the Recipient from developing, advising on, reverse engineering or participating in any competing product or service.

The Recipient may use the reports with clients and colleagues to improve efficiency of their projects and as a communication tool.

2. Definitions

“Competing Product or Service” means any software, digital system, mobile app, workflow automation tool, construction management tool, engineering assessment system, safety inspection tool, spreadsheet-based process, template or report system, training or instructional material, dashboard or workflow platform that performs similar or related functions to InstaPlan, whether paid or free, internal or external, manual or automated.

“Business of the Company” includes developing and operating software, providing digital tools for construction, engineering, project management or safety, and proprietary workflows, calculations, and methodologies used in the Company’s products.

3. Non-Compete Obligations

The Recipient agrees NOT to, directly or indirectly:

3.1 Develop or assist in developing competitor systems

The Recipient must not design, develop, code, document, specify or advise on any product or workflow that competes with or replicates the Company's software or processes.

3.2 Consult or advise competitors

The Recipient must not provide advice, knowledge, documentation, templates, workflows, screenshots, analysis or insight derived from interacting with the Company’s software to any competitor or internal development team.

3.3 Participate in internal development of replacement systems

The Recipient must not participate in internal company projects, IT initiatives, process improvement teams, custom software builds, spreadsheet or SharePoint tool creation designed to replace or duplicate the functionalities of the Company’s software.

3.4 Recruit or encourage others

The Recipient must not encourage, organise or direct others to build or support a competing solution.

4. Non-Solicitation of IP or Staff

The Recipient must not request access to Company source code or internal logic, hire or attempt to hire Company developers, or solicit Company staff for competitive ventures.

5. Duration of Restrictions

The non-compete obligations apply for three (3) years from the Effective Date, or two (2) years after the last use of the Company’s software or workflows, whichever is later.

If the Confidential Information remains a trade secret under applicable law, restrictions continue until it ceases to be a trade secret.

6. Geographic Scope

These restrictions apply globally.

Reason: The Company’s software is accessible digitally and used internationally.

7. Exceptions

This Agreement does not prohibit the Recipient from working in construction, engineering, project management, safety, or cost control generally, using general knowledge and skills, using tools not based on or derived from the Company's proprietary information, or using the reports with clients and colleagues to improve efficiency of their projects and as a communication tool.

However, the Recipient may not use any portion of the Company’s workflow, algorithms, templates, processes, UI/UX patterns, naming conventions, data models or engineering logic to create or assist in creating any competing system.

8. Enforcement and Remedies

The Recipient acknowledges that violation of this Agreement may cause irreparable harm to the Company.

The Company may seek injunctions, cease-and-desist orders, damages, recovery of legal fees, termination of access to the software, and notification to the Recipient’s employer, company, or contracting organisation.

The Recipient agrees that this Agreement is reasonable and necessary to protect the Company’s proprietary interests.

9. Governing Law

This Agreement is governed by the legislation and laws of Australia.

The parties submit to the exclusive jurisdiction of the courts within that region.

10. Entire Agreement
